| IF you are a stock holder and don't get a copy then you should
be able to contact stockholder relations. I think their number is
in the DEC phone book. If not there is contact information in the
back of the annual report available at good DEClibraries where ever
DEClibraries are found.

If you own shares of the company's stock, you will get an annual report
automatically.
If you aren't a stockholder, you can call or write to DEC's Industrial
Relations department and they'll send you one. You can find Industrial
Relations in your DEC phone book.
RE: .6 (shareholder but no annual report)
You realize, of course, that DEC's fiscal year runs July-June, not January-
December. The last annual report was issued in July, 1990. The next one
isn't due to be published until July, 1991. If you were a stockholder of
record on July 1, 1990, you should have received that annual report by now.

Change the word "will" to "should" and you're correct. I'm pretty sure
I've received annual reports for my ESPP shares, but I've never received
proxies. BTW, I also own DEC stock through brokerage accounts, so I know
when the proxies go out.

Not being sent a proxy statement is a serious matter. You should contact
Investor Services and, if you get no satisfaction from them, lodge a formal
complaint with the SEC.
