            Nothing precise but I would not bet on it if only because our
    *perceived* market value is very low.We seem to be attached too much to
    Digital even though this is not completely true.I am constantly amazed
    at the difference in quality between DC and external houses-we are
    pretty good really.This won't save DC however-the CSPs could and might
    if they get motoring quickly or if we get a few who have experience
    other than inside Digital...
    I would bet on a completely seperate unit with some tenuous financial
    tie which will be cut within 6 months-time to sink or swim.

    The rumour that CAP GEMINI has made an offer is persistent. I heard
    that the offer is for DC Europe only. Now  I'm not quite sure how
    they's go about 'amputating' DC Europe.

    If by  several  companies means breaking DC and selling it in pieces,
    we may get  more  money  that  way.  DC has different expertises that
    together may not be that attractive  to  one  suitor,  but  in pieces
    smaller  or  more  focused  companies could be  more  interested  and
    willing to pay more $$$$.

Hmmmn...and the press is going to politely keep it under their hats?  If
there were even a hint of this out, i'd expect to see it on the newswire
immediately (given the talk preceding the Sprint-EDS merger that didn't
happen).  And the investors should be getting briefed about this before
it's made public too.

        Seems a bit hard to believe that if this really happened (that is,
        that it was announced to the press in Geneva on Monday) that it is
        not all over the U.S. papers on Tuesday morning.  And there was no
        mention in any paper I've seen today.
        
        So, from whom did you hear that it was announced in Geneva?

   reported that DC has been sold.  We don't no any other particulars. 
   The rest of us are calling our significant others to watch CNN, CNBC,

Selling a division of a major multi-national is not like selling a can of 
baked beans (no pun intended). Any potential buyer would simply state an 
interest in buying, the board would have to agree specifically to what the 
buyer had in mind and then there would be a 2-3 month period of due 
diligence where the potential buyers finance people would find our what they 
are really buying. So even if someone did want us and not doubt some will, I 
 don't think the situation would sort itself out for several months.

At least that is the way I see it..

    The Videotext information broadcast by CNN International via cable TV
    in Munich, Germany contained no information in the Mergers and
    Acquistions section about Digital as of last night (15th June 1994).

I read the article.  All it really said was that the BoD was meeting today
to discuss courses of action.  The rest of the article was filled with the
same sort of speculation as we've seen for the past few months.  No real
news.

The closest they came to anything concrete was...
   In addition to selling business units, many observers expect Digital to
 largely get out of the software applications business.  Its relational
 database product is rumored to be up for sale; according to Richard Buchanan,
 an analyst with Forrester Research Inc. of Cambridge, both Microsoft Corp. and
 Lotus Development Corp. are considering licensing or buying Digital's All-in-1
 office automation product.
   "It's word processing and e-mail software, and it would allow Microsoft or
 Lotus to capture 5 million users all at once," Buchanan said.  Lotus declined
 comment.

Full article will be in tomorrow's VNS, although I wouldn't be surprised to find
someone will enter it themselves in here before then.

+       DEC "TO FIRE MUCH OF SALES FORCE AND GO INDIRECT"

Digital Equipment Corp executives will this week float another
of its frequent reorganisation plans, PC Week believes - and it
will be a stunner for the demoralised sales force, since the
paper hears that it will suffer an eviscerating lay-off. The
plan will be presented to the board by Enrico Pesatori, head of
DEC's Systems Business Unit and marketing and sales
organisation, rather than chairman Robert Palmer, and according
to the trade weekly calls for the creation of a holding company
consisting of five business units, covering storage,
multi-vendor services, personal computers, peripherals, and
supplies and consulting. The plan, which still requires board
approval, would involve a big switch away from direct sales,
leading to the firing of "most of DEC's current sales force" and
associated administrative workers. The immediate goal is said to
be to lay off 7,000 employees, with another 20,000 going next
year. The multivendor services group will be responsible for the
VAX and Alpha systems business and will concentrate on high-end
sales to specific Fortune 500 customers, the insider sources
told the paper.

Would it be appropriate to speculate on some possible scenarios if Digital
Consulting were to be sold?   (as one with a vested interest)

Would it be safe to say that we would no longer work for Digital Equipment?
How would that effect things like pensions, vacations, etc.?  And how about
offices?   Would these other suitors expect wholesale relocations to areas
where they have field offices?

and what about management?   Would a potential purchaser of DC really want
to inherit the management along with the consultants?  And how about the
systems like SBS, ATS?  Tell me that other companies have systems that 
don't require ALL-IN-1 interfaces.

Would a potential buyer most likely take the whole business and then 
"pick off the white meat and toss away the carcass" without a package?
Would a potential buyer expect to invest in training, equipment to a 
greater degree than Digital has over the past couple years? (typing this
from my self-purchased DEC PC while connected to my four year old 
Vaxstation 3100 M38... and I was supposed to go to training this past
week on new technology, but it was cancelled.. you know all the stories)

I guess the basic question is:

	How is the consulting business run by our competitors/interested
	purchasers?   Any info (or pointers) as to how the Andersen or EDS
	or Computer Sciences model differs/tracks Digital Consulting?


Thanks for any insight.   I'm really not hoping DC is sold.

    ************ URGENT - DIGITAL CONSULTING DVN CANCELLATION **********
    
    I regret to announce that the Digital Consulting DVN which had been 
    scheduled for June 22nd from 11:00-12:30 EDT has been postponed.  A 
    new date for the broadcast will be set within a week.  
    
    My intent was to spend a few minutes updating you on our financial 
    and operational performance, and the progress Digital Consulting has 
    made against the goals stated in the "Looking Forward" document.  We 
    were also going to cover the operational programs that are on track 
    for July 1st implementation.  The remainder of the broadcast was 
    designed as an "Electronic Meeting" where you all could have a voice 
    and ask questions.
    
    You may have seen the message from Bob Palmer that was sent out last 
    week [June 16th].  It stated that specific steps to return Digital to 
    profitability have been approved by the Board of Directors, but since 
    work remains to be done, it would be inappropriate to discuss 
    detailed plans and subsequent actions at this time.  In supporting 
    the direction set by Bob and the Board, it would, therefore, be 
    premature for Digital Consulting to hold an "Electronic Meeting" at 
    this time because we could not specifically discuss our future plans 
    and direction in any detail.   
    
    I apologize for this delay in the meeting, and for whatever 
    discomfort it may cause you in your desire to know the future 
    direction of Digital and Digital Consulting.  I know there are a 
    great many rumors circulating throughout the corporation about 
    Digital Consulting--and some of them have even appeared in the press.  
    As Bob pointed out in his message, do not be distracted by 
    speculation which circulates for each real and imagined move we make.  
    Be assured that as soon as it is possible to share the details with 
    you, I will.
    
    In the meantime, to keep you abreast of ongoing programs within 
    Digital Consulting, we will soon be issuing a special edition of the 
    Digital Consulting newsletter which will detail our plans for effort 
    reporting, revenue sharing, revising metrics and opportunity 
    tracking.
    
    We set a course for ourselves with the "Looking Forward" document and 
    we have not wavered from that.  We continue to focus our efforts on 
    building a strong and credible consulting organization and we have 
    every confidence that we will be successful.  We must keep ourselves 
    focused and upbeat.  I urge you to move ahead and to continue to sell 
    consulting engagements for the remainder of FY94 and on into FY95.
    
    Your efforts in these confusing times are all the more appreciated 
    and I want to thank you all.

Our DVN coordinator in NY was informed of the delay till August.  She mentioned
it in the memo she sent out announcing the cancellation.

    It may very well be that we read of our fate in the trade and financial
    magazines before we hear it from Gresh. To me, it still looks like DEC

    Re: CSC - if this winds up beig true, dust off your white shirts and
    blue ties...I interviewed at one time with one of their consulting
    arms, CSC Partners. I wore what I considered an apporpriate outfit, a
    deep purple double-breasted suit/dress. The woman who interviewed me
    told me out right that my attire wasn't appropriate, that the men had
    to wear dark suits, white shirts and the women had to wear the
    "1960s-dress-for-success" outfit...big jacket, white blouse with a
    Peter Pan collar, floppy bow tie and long, shapeless skirt (heaven
    forbid someone might figure out you were a female!). She said that this
    was because most of their clients were very "conservative". Apparently
    it doesn't matter what you know, just what you wear!

    Oh yeah, and they were very positive about training......you had to
    take a certain amount per year.....it was all at night and on weekends
    and you didn't get paid for it. Obviously I'm still here....

    Has there been anymore news on the sale of Digital Consulting.  A
    Wall St article on selling storage (July 5) mentioned that DC is
    another candidate for selling, but that was it.
