              WINNING TEAMS FOR 1996 ANNOUNCED

This year, we won't have a Corporate Conference as we have
in the past. That's the time that we traditionally honor
outstanding teams across the system. In the competition this
year were 111 team nominations in 4 Focus Area categories:
Safety, Asset Utilization, Growth and Employee Development
and Productivity. The competition was stiff and the judges
had their work cut out for them. Here are the top teams in
each category:

                           SAFETY

Responsible Care(R) Advisory, Conway Responsible Care(R) and
Conway Compliance Teams...These teams were all instrumental
in making Conrail a Responsible Care(R) Partner under the
Chemical Manufacturers Association (CAM) Responsible Care(R)
program. The Advisory Team developed a five-year
implementation plan for systemwide roll-out of the program.
The team also developed a pilot on the Pittsburgh Division.

Conway Yard was the pilot site for the roll-out of the
program. Both Conway Teams provided a link with the
community for concerns and issues about railroad operations.
The teams developed a comprehensive plan that addressed all
aspects of the Responsible Care(R) code and continue to work
to assure compliance, improve operations and community
understanding.

Train & Engine Day 2 Risk Management Training Team...This
team developed and implemented a second day of consistent
Safety/Risk Management Training for all T&E employees across
the system. The training enables T&E employees to address
risk issues that relate to the business of moving trains,
and relate them to the work of conductor, engineers,
yardmasters and other T&E-related activities.

                           GROWTH

Kansas City Market Extension Team...This team set out to
achieve new and profitable intermodal growth by penetrating
the Kansas City market with a product that satisfied the
needs of both domestic and international customers. The
product -- KC Prime -- has generated new business for
Conrail with its steel wheel connection and simple Conrail
direct routing. The single line routing was made possible
through an agreement with the Gateway Western Railroad.

Clear Signal Revenue Growth Concept Team...This
Labor/Management Project Team on the Philadelphia Division's
Morrisville District developed a presentation for customers
that showed how Conrail could meet those customers' needs.
Presentations were made by team members directly to
customers, and mutual solutions to concerns were addressed
at that meeting. The team's work has resulted in substantial
revenue growth.

            EMPLOYEE DEVELOPMENT AND PRODUCTIVITY

Critical Incident Response Team...This Labor/Management
Project Team from the Philadelphia Division developed and
implemented a program to provide peer support to train crews
and others who are involved in a critical incident, e.g.,
grade crossing crash, trespasser incident or employee
injury/fatality. When an incident occurs, the team
coordinator contacts the appropriate geographic co-chair who
then dispatches a team member to the site -- usually within
one hour of the event happening. Team members have been
trained in Peer Support Intervention Techniques, and provide
assistance to train crew members and others at the scene in
coping with the incident and its effects on them. The pilot
began in March of 1996 and continues to serve Philadelphia
Division employees.

Albany Division Signal Training QIT...This team provided
training to employees to improve the quality of maintenance
and provide consistent testing techniques to eliminate
"false proceed" signals. Training materials included
written, video and "hands on" experiences to improve signal
maintenance, the quality of signal testing, the quality of
safety performance and the level of understanding of the
system. Team members developed the training materials and
made the presentations.

                      ASSET UTILIZATION

VAST Petroleum Team...With fuel expenses in 1996 of $200
million, this team set about to find ways to reduce those
expenses. This team devised ways to reduce fuel use through
compliance with Conrail's locomotive shutdown policy and
looked at how the company purchased the commodity also. The
result was significant reduction in expenses.

Selkirk Hump Damage Team...This team set out to reduce
damage to lading and equipment resulting from humping
operations at Selkirk Yard. Many departments were included
in the team's makeup to bring the appropriate expertise to
solving the problems. The team's work resulted in
improvements to the physical plant, training and
measurements for success.

             TURN IT OFF WHEN YOU DON'T NEED IT
        A Reminder from Ron Conway, Sr. VP-Operations

Did you know that Conrail spends about $32 million on
utilities each year and that 65 percent of that cost is for
electricity? We can not only conserve electricity, but also
save about $1 million annually if we shut off Conrail's
7,200 computers, terminals and printers when their operation
is not required. Turning off your PC, terminal or printer at
the end of your workday will not result in loss of function
or files, and has real benefit to all of us.

Some equipment can't be turned off because it's an integral
part of the company's communication system and must operate
round-the-clock. That includes:

     -- PC's used as servers for other computers
     -- PC's/Terminals that facilitate printers that receive
messages continuously
     -- PC's/Terminals used by others at the end of your
workday
     -- Any equipment that your DP Coordinator advises must
remain "on" continuously

We'll make it easy for you to determine if you can turn your
computer equipment off when not in use by sending you
"reminders" that can be affixed to that equipment and marked
with the hours the equipment is in use.

Check with your DP Coordinator if you're in doubt about
whether can turn your equipment off. And, look for your
"reminders" in the mail.

o Strong rumor (and high volumes of movement on Wall Street) have it
  Norfolk Southern is making a takover bid of the Susquehanna(sp) RR,
  based out of New York.  This would give NS access to the Canadian
  markets.

o On another tangent, CPR and CN are not thrilled about the
  outcome of the "Conrail" carve up, as the new scheme of things leaves
  CPR out of the port of Philadelphia.  CSX will also be asking Amtrak/
  MBTA for renegotiations on trackage rights, as the Boston Line will be
  under CSX's "rule" in a year or so.  CSX has it on record that they  
 don't exactly "like" passenger service sharing their tracks.

o The MBTA layover yard at Worcester, STILL is not in use, due to the
  T's refusual to accept the new facility.  The contractor performing
  the work has not met standards, specifications, and has taken longer,
  and $cost$ considerable more than originally planned.

    I bought 30 shares about 10 years ago. Hovered around $10 +/- $1.00
    for the entire time.
