    Hi - Bob Lee in Colorado - just got off the phone with a customer
    who claims to have just seen a news blip on CNBC the financial cable
    news network claiming that we have just undergone a friendly takeover.
    
    Q: Apparently the news was held back until NYSE stock market close?
    
    Just checking to see if this is just a rumor - it sounded pretty
    bizarre.

So I read between the lines something about McDonald's???

That's great. So maybe BurgerKing and JackInTheBox also try to buy Digital.
This would bring our stock from $20 to (at least) $2000.

And if it's a friendly takeover, why not?

The bad thing would be, if they pay us with burgers, ooops!

So we should wait and see.

I read on clarinet that Martin Marietta is looking to buy something.  Their 
bid to buy Grumman (or some other aerospace company) fell through.  Maybe they 
want to look outside the defense industry?

    NEW YORK, April 28 (Reuter) - PaineWebber Inc analyst Stephen Smith said he
upgraded Digital Equipment Corp to a buy from a neutral, saying it is vastly
undervalued and at this price it could become a compelling acquisition target.
    "Either their stock goes up or they are (an acquisition target)," Smith
said. He said that at its current trading range, Digital's market capitalization
is $2.5 billion. "This is a $13 billion company selling at a market cap less
than Silicon Graphics (Inc <SGI.N>." Digital's shares were up 7/8 to 21-1/8.

    Why doesn't DEC buy DEC stock at this point?  We've done this in the
    past (at much higher values) to support the price level.  Also, I
    would think that 10-20M shares would do a lot to protect against a
    hostile takeover.  Are we unconcerned about a takeover?  Is there a
    lack of confidence somewhere?  Certainly this issue must have been
    addressed by the BoD.  Maybe it's just a matter of not enuff "free"
    money to make a worthwhile purchase?

It has proven to be a lousy investment for me even at Employee discounted
prices.

      Don't forget,  DEC is trying to conserve cash at this point,  
    and recently issued (preferred) stock to raise more cash.
    
      Buying common stock back (and depleting cash reserves) doesn't

    remember....when you're losing money, you want MORE shares outstanding
    so that the per share loss is minimized.  When you are making money,
    you want FEWER shares outstanding, which maximizes the per share
    profit.  Buying up our shares is not good right now...issuing more is.

HELP EXPAND SERVICES




             MCI Communications Corp. said it plans to buy advanced high-speed
          data switches from Alcatel Network Systems Inc., part of a network
          modernization effort previously announced by MCI.
             MCI, based in Washington, said it will use the new digital
          equipment -- Synchronous Optical Network (SONET) digital
          cross-connects -- to expand its offerings of advanced communications
          services, such as teleconferencing and medical imaging. Terms
          weren't released, but an MCI spokesman said the purchase represents
          a "substantial" part of the company's $200 million investment in
          cross-connects from various vendors.

    of equipment (DIGITAL) not the company.  Alwayes thought DEC was better

The HEADLINE attracted attention because it APPEARED to discuss DEC, not
generic digital gear.
