            Digital announces Ken Olsen to resign from board Oct. 1 

  Ken Olsen announced that he will resign from Digital's Board of Directors 
  effective Oct. 1.  The decision to resign from the board when he retires as 
  president is in keeping with Ken's intention to "allow the next generation 
  of management to assume leadership."  The board will decide at a later date 
  whether to fill Ken's seat.

  Ken will be available and accessible to company management for advice and 
  to assume continuity with customers and employees during the transition 
  period following his resignation.

    has to have to join?

    Usually you get nominated to the Board of Direectors.  Apparently, the
    rules can be customized for any corporation, organization, etc.  This
    could effectively eliminate "outsiders" getting nominated that current
    BoD members do not want to have on "their" board.
    
    Just an observation from past experience.  Bye the way, I think you
    would add and interesting and profitable perspective to the board,
    Nasser.  I'd vote for you!

	I wonder if he has any open reqs? :-)

	Rumor has it that he has some projects in mind to run. But one never
	knows. Providing an office and secretarial support for former CEOs
	in not uncommon. Perhaps he's going to write a book. Or just wants to
	keep out from under his wife's feet. :-)

        It's not like there won't be anybody looking over Palmer's
        shoulder -- after all (according to KO) the Board of
        Directors "fired" KO and one presumes will continue to look
        over Palmer's shoulder quite closely.  If anything, KO would
        be more likely to be sympathetic to Palmer's need for some
        freedom from the board than any other member of the board!

Olsen To Leave Digital Board - Digital-Olsen

BOSTON (AP) - Digital Equipment Corp. co-founder Kenneth Olsen,
who announced in July he would retire as president of the
struggling computer maker, will also leave the board of directors,
the company said Monday.
    While Olsen originally was scheduled to remain on the board
through the end of his current term in November 1993, some analysts
said the early departure wasn't surprising.
    ``I think it's time for Ken to make a clean break from the
company,'' said David Smith, an analyst at International Data Corp.
who worked at Digital for several years. ``There's no reason for
him to be around.''
    The company said Olsen, 66, would step down from the board Oct.
1, the same day that Robert B. Palmer, a Digital vice president,
officially succeeds him as president. Though Olsen ran Digital's
board, neither he nor anyone else at the company has the title of
chairman.
    The board vacancy that will result from Olsen's departure was
not immediately filled. Palmer was made a member of the board when
it approved his elevation to president in July.
    The company did not provide comments from Olsen or Palmer and
said they were not available for interviews.
    In July, Olsen ``hadn't decided at that time he was going to
resign from the board,'' said Joseph Codispoti, a Digital
spokesman.
    Monday's announcement was greeted by computer industry analysts
as a further positive sign for a company that is struggling to
reverse a series of heavy losses and chart a new direction.
    ``A house divided cannot stand,'' said John Logan, an analyst
with Aberdeen Group Inc. in Boston. ``To have Bob Palmer there with
Ken Olsen there looking over his shoulder is just a hindrance the
company cannot afford to have.''
    While the company initially described Olsen's departure as a
retirement, he reportedly told some employees he was fired.
    Olsen, who helped launch the company in 1957, had come under
fire as Digital saw its fortunes tumble and tried repeatedly to
reshuffle its management and product lines. The company has
eliminated more than 20,000 jobs in recent years and is expected to
cut thousands more positions.
    Analysts say Palmer has already started remaking the company,
and new product strategies might be unveiled soon after he takes
command.

I expect that besides the board, several tens of thousands of employees
will be watching as well. Bob is going to have to do a lot right the
first time. I doubt that he'll have too many "second chances".

I think the INTERNAL USE ONLY has to do with an agreement with the AP not to
