    Notice how no one is answering???? Many of us are anxious to know if
    these rumors are a cruel hoax or not.

    How about an entry on all issues discussed at the BOD meetings. Is that
    kind of info normally available to the average employee? If not it
    should be.

    That is somewhat naive. Why should all business of the BOD be public?
1763.4 Is Digital not a business? Or am I just a little Naive?.......????EMDS::MANGANThu Feb 27 1992 14:0433
    .3
       "That is somewhat naive". .2 was an opinion based on the following:

        1. The BOD is salaried...are they not?
        2. Who pays thier Salary? You and I.
        3. We as employees have as much if not more
           interest in the survival/growth of the company than most of the
           BOD members.
        4. Has all the ups and downs of the Digital in recent years, due
           'entirely' to the economy? Mabey not.

    Naive is sitting back and not caring enough to ask these questions.
    Naive is letting a company fall deeper and deeper into trouble both
    economically and more importantly socially.
    Naive is following in the footsteps of a predecessor....regardless if
    it is the correct path to growth for the company.

    Let's see I vote in the town officials were I live. All thier business
    is public. AND its a business.
    I vote in the BOD of the credit union that I belong to. All thier
    business is public. AND its a business.

    Is Digital not a business? Or am I just a little Naive?.......????

1763.5Having a little difficulty following this ...SWAM2::MCCARTHY_LALie to exit pollersThu Feb 27 1992 15:341
    Did I understand .4 to say that employees pay the BoD's salary? Hunh?
1763.6NOTIME::SACKSGerald Sacks ZKO2-3/N30 DTN:381-2085Thu Feb 27 1992 17:306
The BoD isn't salaried. They get fees for attending meetings, and they get
an annual stipend for being on the Board.

The BoD is supposed to discuss the long-range goals of the company.
If DEC's board meetings were public record, our competitors would have an
unfair advantage.
1763.7EMDS::MANGANMon Mar 09 1992 15:2115
    My mistake, insert "fees" and or "stipend" in place of "salary."
    the company's profit ((which is generated by the avg. employee((you and
    me)) still pay's for this.
    Also insert "open door policy in effect between employees and BOD
    members" in place of, "BoD business being public." Isn't anyone just a
    little bit curious about what's going on at these BoD meetings? I
    relize that some of the "long-range goals of the company" are priv.
    info and I agree it should stay priv.,but as a stockholder I am
    interested to know how/why some of the decisions are made at the top
    that effect the future of my company. What's wrong with that? I know
    that's not the way it's been done in Washington. But look what the
    politicians get away with, Maby if they knew that we knew what was
    going on, we might have some leverage in the decision making process.
