	    	CONFIDENTIAL INFORMATION UNTIL SEPTEMBER 17TH 

On September 17th, there will be an OSF public announcement that their DME 
(Distributed Management Environment) evaluation team has selected a 
"composite" solution consisting of technology from the following vendors:
Tivoli, Hewlett Packard, IBM, Wang, Bull, Gradiant, MIT, SNI and OSF.  Outside 
of Digital's participation in the MIT's Palladium Print Services submission,
no other Digital technology was accepted. 

The attached marketing messages which will be the basis of Digital's response 
to OSF DME inquiries.  These straightforward responses are reflective of the 
flexible nature of EMA, and of the critical components of EMA architectural 
models which were accepted and endorsed by OSF.

After Digital's previous "wins" for both Motif and DCE, the non-acceptance of 
Digital technology for the DME might easily be construed as negative by 
individuals not familiar with the OSF process.  Following are a few reasons
why Digital can and should be positive about OSF's decision. 

     1) As an OSF member, Digital will be able to use the DME at the low cost 
	typically associated with OSF technologies.   Digital gets DME without
	having to incur the significant engineering expenses previously
	associated with our Motif and DCE submissions. 

     2) As an OSF member, Digital is entitled to periodic "snapshots" of the 
	DME technology.  Such releases provide Digital with early versions of
	DME code upon which management applications can be built and DME 
	development progress monitored.  Experience has demonstrated that lead 
	time for vendors with accepted submissions is minimal at best.

     3) DME offers Digital the opportunity to accelerate consolidation of 
	management framework development by focusing on those kernel services 
	expected to be common and readily available.  Prior to the DME, 
	such consensus did not exist in the industry or within Digital. 

     4) With OSF assuming industry responsibility for portions of management 
	framework development, Digital is able to concentrate more resources 
	upon development of revenue producing management applications.  
	Without contractual limitations, Digital is free to maximize the
	shipment of existing products which resolve existing customer needs. 

     5) OSF verified fundamental EMA and NAS technologies in the DME 
	selection. The support of standards-based object definitions are
	verification of the EMA Entity Model which is the basis for OSI SMI. 
	The support of OMG ORB is verification of object oriented technology
	submission from NAS.  The requirement for a management framework is
	verification of the basic concepts behind the EMA Director Model.

OSF Members Meeting Messages:

 Keep these messages in mind when discussing this issue at the upcoming OSF
 Members Meeting or with other OSF members or OSF personnel.  The basic message
 is that Digital is very supportive of OSF and the proposed OSF DME technology

 * The OSF DME solves another piece of the overall problem of enterprise 
     management.  The DME is a good solution for managing the OSF environment.

 * The OSF DME is a great win for industry defacto and dejure standards.
     As leaders in supporting and following standards, OSF and Digital will 
     win as a result of the DME focus on ISO, IETF, NMF, X/Open and OMG 
     standards.

 * Digital will deliver OSF DME-based products when the DME is available.
     Digital will continue to deliver Enterprise-wide Management solutions.

 Overall Marketing Messages:

 Keep these messages in mind when discussing DME, EMA and Management Products
 with customers and the general press.  They provide a more product-oriented
 perspective.

* This is a great win for standards: we support it and we will implement it
   - Digital believes the OSF/DME announcement is another win for 
     international standards. Digital has previously stated its commitment
     to offering its customers a full suite of products which are conformant
     with standards. It is our intention to offer a DME compliant management
     system when it becomes available from OSF and DME applications
     within six months after the OSF DME interfaces become available

* The DME as announced by OSF solves another piece of the problem of
  enterprise management. We believe this is a good solution for managing
  the OSF environment

* EMA and DECmcc are designed to address overall enterprise management
  needs (such as systems, applications, databases and networks). Digital
  will continue to offer solutions to meet these management needs in 
  addition to those addressed by OSF in the DME through our NAS Management
  Services.  
  
* Digital is going to provide DME applications as part of its NAS Management
  Applications

  - the DECmcc Director will be the best way to get to these applications
  - today's DECmcc applications will run on future versions of the product
    under NAS Management Services.

 Keep these messages in mind when trying to make internal product design and 
 business decisions and when talking with 3rd party developers and customers.
 They provide more detail for how we will support the DME.  Keep in mind,
 however, that we still need more technical details on the DME before we
 can commit to delivering any specific products.  Also keep in mind that the
 DME is not likely to be generally available on a broad range of platforms 
 for 2-3 years.


For Application/Framework developers:

* if you can wait for DME, 
  - buy DECmcc today because it offers the most robust enterprise applications
    development environment **NOW**
  - by building to this platform today, time to solution and market are
    significantly reduced


* if you can't wait for DME
  - build on DECmcc. Through NAS Management Services we will provide:

  1) interoperability with DME applications
  2) porting from DME -> DECmcc and DECmcc -> DME with the appropriate set
     of tools
  
  - building on DECmcc today, protects your investment tomorrow

For Object developers

* Digital will deliver objects which can be managed by an OSF DME framework

  1) the DECmcc SNMP AM and Common Agent technology are proofs of this
     capability TODAY
  2) increased manageability = more control of the environment, thereby
     increasing customer productivity


For End Users 

Not needing a DME solution:

* buy DECmcc - its a proven solution for the management of simple to complex
  multivendor environments

* its designed to adapt to your business/technology needs for management

Needing a DME solution:

* if you can't wait, buy DME point solutions today. Digital is committed
  to including DME solutions within the NAS Management umbrella.

  point solutions and eventually integrate the applications completely through
  NAS Mgmt services:
